This summary helps you read the page. The full text below controls.
1. Who We Are and What These Terms Cover
High Level Admins is a trade name of JayBen LLC (“High Level Admins,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your use of highleveladmins.com (the “Site”) and every service you buy from us (the “Services”). “You” means the person using the Site or the business that engages us. If you accept these Terms for a business, you confirm you have authority to bind it.
You accept these Terms when you use the Site, book a call, accept an Order, or pay us, whichever comes first. If you don’t agree, don’t use the Site or the Services.
These Terms include our Privacy Policy, Refund Policy, Data Processing Addendum, SMS Terms, and Cookie Policy.
2. Definitions
- “Order” means a signed agreement, statement of work, proposal, order form, invoice, or checkout page you accept that names a Plan, a price, and a scope
- “Plan” means the Specialist, Admin, Pod, Setup, or Enterprise service described on the Site or in an Order, and “Monthly Plan” means the Specialist, Admin, or Pod Plan
- “Client Accounts” means the HighLevel accounts and other systems you give us access to
- “Client Data” means information in your Client Accounts or that you give us, including personal information about your customers
- “Team Members” means the employees and contractors we assign to your work
- “Deliverables” means the workflows, funnels, automations, documents, and other work we build for you under an Order
3. Using the Site
You may use the Site to learn about our Services and book a call. You agree not to:
- Copy, scrape, or republish the Site’s content for commercial use without our written permission
- Interfere with the Site’s security or operation, or access systems you aren’t authorized to use
- Use the Site to send spam, malware, or unlawful content
- Misrepresent who you are when you contact us or book a call
Our Answers pages and other content are general information about HighLevel. HighLevel changes its product often, and nothing on the Site is legal, compliance, tax, or financial advice. Check HighLevel’s help center and your own advisors before you rely on it.
We own the Site’s content, design, and branding. You may link to any page and quote short passages with credit to High Level Admins.
4. Our Relationship With HighLevel
High Level Admins is an independent service provider. We are not HighLevel, and HighLevel LLC does not own, operate, sponsor, or control us. Our team is led by a HighLevel Certified Admin. HighLevel, GoHighLevel, and LeadConnector are trademarks of HighLevel LLC, named here only to describe the platform we work in.
Your HighLevel account, subscription, and use of the platform are governed by your agreement with HighLevel or with the agency that provides your account. Platform bugs, outages, feature changes, pricing, and account decisions belong to HighLevel, so contact HighLevel support for those.
5. Plans and Orders
Each Order states your Plan, price, start date, and scope. If an Order conflicts with these Terms, the Order controls for that engagement. Work outside an Order’s scope needs a written change, and email counts as writing. A scope change can change the price.
Enterprise engagements run under a separate signed agreement, which controls wherever it conflicts with these Terms.
6. How We Deliver the Services
We assign Team Members with the skills your work needs and name an account lead as your main contact. We decide how the work gets done, who does it, and which tools we use, within your instructions and these Terms. Our commitments to you:
- We acknowledge messages within 1 US business day and handle urgent issues the same US business day. An issue is urgent when a live system is down or sending wrong messages.
- We test and document every build before you see it, and corrected work comes back as a new final version
- Before any import, migration, bulk edit, or deletion, we export the data it affects and save a snapshot of your account’s assets
- If you ask for a different person, we assign a replacement within 1 week, or 2 weeks if we need to hire
- Every dedicated Team Member has a named backup who knows your account, and planned time off goes on your calendar 2 weeks ahead
A “US business day” is Monday through Friday, excluding US federal holidays. Your Order states your Plan’s hours. Plan hours, such as 40 hours a week for each Admin Plan Team Member, exclude US federal holidays, apply week by week, and don’t carry over, and a named backup covers scheduled time off.
Dedicated Team Members stay on your account unless you ask for a change or they leave us, and we tell you before any change. Team Members are our employees or independent contractors, never yours. We are responsible for their work under these Terms.
7. Your Responsibilities
To let us do the work well, you agree to:
- Give us timely access, information, and decisions, and name 1 person who can approve work
- Keep your HighLevel account and subscription in your own name, or in your agreement with the agency that provides it
- Give each Team Member their own user login with only the permissions their work needs, and never share owner credentials
- Pay third-party costs directly, including your HighLevel subscription, ad spend, A2P and messaging fees, AI usage inside your account, and third-party tools and licenses
- Review Deliverables before they go live; Conversation AI and Voice AI agents launch only after your written approval
- Keep your own backups of data your business depends on
You are responsible for your marketing and communications, including the content of every message and the consent behind it. That covers the Telephone Consumer Protection Act, CAN-SPAM, A2P 10DLC and carrier rules, state telemarketing and privacy laws, and industry rules such as HIPAA. We build and run what you direct, and our work is not legal review.
Don’t ask us to do anything unlawful or deceptive, or anything that violates HighLevel’s terms or a carrier’s messaging policies. We may decline or stop any task we believe crosses that line.
8. Fees, Billing, and Taxes
- Monthly Plans bill in advance and renew each month until cancelled
- Setups are paid 50% before work starts and 50% when the scoped work is ready. We hand over the finished work once the second payment arrives, and anything outside the scope is quoted separately. If you delay a Setup more than 30 days, we invoice the second 50%.
- Prices are in US dollars and exclude taxes, which you pay where they apply
- You authorize us to charge the payment method you provide for recurring fees under your Order
If a payment is more than 3 days late, we may pause work until it’s paid. If it’s more than 30 days late, we may end the Services, remove our access, and collect the amount owed plus reasonable collection costs, including attorneys’ fees. Before disputing a charge with your bank, email us so we can resolve it. A chargeback on fees that are due or non-refundable is a payment default.
We may change Plan prices with 30 days’ written notice. A new price applies from your first billing date after the notice period ends.
9. Cancellation, Refunds, and Termination
Monthly Plans are month to month, with no long-term contract. Either of us may cancel with 30 days’ written notice, and an email to hello@highleveladmins.com counts. Fees for the notice period are due, and we bill the final partial month by the day.
If you cancel your first Monthly Plan with us by 11:59 p.m. Mountain Time on day 14, your first monthly fee is refunded, no notice-period fees are due, and the Services end when we confirm the cancellation. Day 0 is the day your first payment arrives, and days are calendar days. This refund applies once per client. After day 14, monthly payments are non-refundable. Setup fees are never refunded. Our Refund Policy has the details.
Either of us may end the Services by written notice if the other materially breaches these Terms and doesn’t fix the breach within 10 days after being told about it. If you end the Services for our uncured breach, we refund fees you prepaid for monthly service we haven’t performed. We may end the Services immediately if you ask us to do something unlawful or treat a Team Member abusively.
When the Services end, we hand over finished, paid-for Deliverables with their documentation, remove our users from your Client Accounts within 1 US business day or ask you to remove any we can’t, and return or delete Client Data as our Data Processing Addendum describes. Sections that by their nature should survive, including payment, ownership, confidentiality, non-solicitation, liability, and disputes, survive.
10. Ownership
You own your Client Accounts and Client Data. Once you’ve paid for them in full, we assign to you all of our rights in the Deliverables we build specifically for you.
We and our licensors keep ownership of everything we bring to the work or develop independently, including our templates, snapshots, SOPs, checklists, training materials, scripts, and know-how (“HLA Materials”). Where HLA Materials are part of a Deliverable, you receive a non-exclusive, perpetual license to use them in your own business. You may not resell or distribute HLA Materials on their own, including as a HighLevel snapshot.
We name you as a client, or share your results, only with your written permission.
11. Confidentiality
Each of us will keep the other’s non-public business information confidential, use it only for the Services, and share it only with people who need it for the Services and are bound by confidentiality duties at least this protective. Every Team Member on your account signs a nondisclosure agreement.
This section doesn’t cover information that is public through no fault of the receiving party, was already known to it, is developed independently, or is received lawfully from someone else. Either of us may disclose information the law requires, after notifying the other where the law allows.
12. Data Protection and AI
When we work in your Client Accounts, we process Client Data for you and on your instructions. Our Data Processing Addendum is part of these Terms and controls how we handle it.
Our team uses Claude and other approved AI tools to work faster, only through business accounts whose providers don’t train their models on our inputs. A person checks every AI output we use, and a person writes or approves every message your team sends you. Automated notices, such as appointment reminders, receipts, and opt-out confirmations, come from systems we set up and monitor. No AI agent speaks to you on our behalf.
Don’t give us protected health information, payment card numbers, Social Security numbers, or other government ID numbers unless we’ve agreed in writing to handle them under terms that fit. We work in accounts that hold protected health information only after we both sign a business associate agreement, and we don’t sign one by default.
Team Members and service providers access Client Data from outside the United States, never from a country the US government lists as a country of concern for data security. The confidentiality and security commitments in these Terms and the Data Processing Addendum apply wherever the data is accessed.
13. Non-Solicitation
We recruit, train, and manage every Team Member. While the Services run and for 12 months after they end, you agree not to hire or engage, directly or through anyone else, a Team Member who worked on your account and whom we introduced to you, unless we agree in writing first. Hiring one breaks this agreement.
Our actual losses from losing a trained Team Member would be impracticable to fix, so you agree to pay us liquidated damages equal to 12 months of the monthly fee for the Plan that person worked on, or of the Admin Plan if they worked only on a Setup. Both of us agree this amount is a reasonable estimate of what it costs us to recruit, train, and replace that person, plus the revenue we lose while we do. If a court won’t enforce this amount, you owe us our actual losses from the breach instead.
During those 12 months, you’ll confirm in writing, within 10 days of our request, whether you’ve hired or engaged any Team Member who worked on your account.
14. Warranties and Disclaimers
We perform the Services in a professional manner consistent with generally accepted industry standards. If a Deliverable doesn’t match what its Order describes, tell us within 30 days of delivery and we’ll correct it at no extra charge. That correction is your remedy for nonconforming work.
We don’t guarantee results, including revenue, leads, deliverability, ad performance, A2P approval, or HighLevel’s availability. Past results don’t predict future ones. Except as this section states, the Site and Services are provided “as is,” and we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the extent the law allows.
15. Limitation of Liability
To the extent the law allows, neither of us is liable to the other for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, even if warned they were possible.
Our total liability for all claims arising from the Site or the Services is limited to 1 month of your Monthly Plan fee. If you have no Monthly Plan, it’s limited to the Setup fees you paid.
These limits don’t apply to your payment obligations, including any amount owed under Non-Solicitation, to your indemnity obligations, or to liability the law doesn’t allow to be limited.
This section, the warranty disclaimers, and your indemnity also protect our contractors, subcontractors, and Team Members. You agree to bring any claim about the Site or the Services only against JayBen LLC, never against a Team Member, contractor, or subcontractor personally. Claims for fraud, intentional misconduct, or misuse of Client Data are the exception, and you may bring them against whoever is responsible.
16. Indemnification
You will defend and indemnify us, our contractors and subcontractors, and our Team Members against third-party claims, and the resulting losses and costs, including reasonable attorneys’ fees, that arise from your Client Data, the messages, campaigns, and content you direct or approve, your products and services, or your violation of law or these Terms.
We will defend and indemnify you against third-party claims that HLA Materials, as we provide them, infringe someone’s intellectual property rights. This doesn’t cover third-party materials, content you supply, or changes made by anyone other than us.
The party seeking indemnity must give prompt notice, let the other party control the defense, and cooperate. Neither party may settle a claim in a way that admits fault for the other without the other’s consent.
17. Calls and Recordings
We record and transcribe every call, including phone and video calls, to keep accurate notes. Recording is a condition of working with us, and we tell everyone on a call that it’s recorded when it starts. If you don’t want calls recorded, we’re not the right fit. Recordings follow the retention schedule in our Privacy Policy.
18. Disputes and Governing Law
South Dakota law governs these Terms, without regard to conflict-of-laws rules. Before filing a claim, each of us will try in good faith to resolve the dispute by email and a call within 30 days after written notice. That step doesn’t apply to claims for unpaid fees or to urgent requests to protect confidential information or intellectual property.
Any lawsuit must be filed in the state or federal courts located in Pennington County, South Dakota, and both of us consent to their jurisdiction. Either of us may instead bring an individual claim in small claims court where it qualifies. Each of us waives trial by jury to the extent the law allows.
19. General Terms
We may update these Terms by posting a new version with a new effective date. For active clients, a material change takes effect 30 days after we email notice, and you may cancel during that period under the earlier Terms.
Send legal notices to the email or mailing address below. We send notices to the email address in your Order or our records. Accepting an Order by email, click, or electronic signature binds you the same way a handwritten signature does.
These Terms, the documents they include, and your Orders are our entire agreement on their subject and replace earlier discussions. Neither of us may assign these Terms without the other’s consent, except to a successor in a merger, acquisition, or sale of the business, with notice.
Neither of us is liable for delays caused by events beyond reasonable control, such as platform outages, internet failures, natural disasters, or government action. Payment obligations still apply.
We are independent contractors, and these Terms create no partnership, joint venture, employment, or agency between us. If a court finds part of these Terms unenforceable, the rest stays in effect. Not enforcing a term is never a waiver of it.
